By placing an Order and purchasing bespoke services and goods from www.ltdcompany.co.uk you enter into a legally binding agreement with us on the following Conditions. You should read and understand these Conditions because they affect your rights and liabilities.

These are the Standard Terms and Conditions of Sale of UK Companies Limited, registered at International House, 124 Cromwell Road, Kensington, London, SW7 4ET, Companies House Registration 8039794 (“the Seller”, “We” or “Us”) for bespoke company formation services and supplementary products as set out in the pages on this site (“the Packages”). Our VAT number is 137 3050 38 Subject to the provisions of Clause 11 below, the price of the Goods, the delivery charges and Value Added Tax where applicable is set out on the Order Form.

No part of this Website is intended to constitute a contractual offer capable of acceptance. Your order constitutes a contractual offer and our acceptance of that offer is deemed to occur upon our sending a dispatch email to you indicating that your order has been fulfilled and is on its way to you.

In this Agreement the following terms shall have the following meanings:

Please be aware that orders or payments can only be cancelled up until provision of Services has commenced. 10. Termination and Cancellation

  1. Either UK Companies Limited or you may terminate your Account. If UK Companies Limited terminates your Account, you will be notified by email and an explanation for the termination will be provided. Notwithstanding the foregoing, we reserve the right to terminate without giving reasons.
  2. If UK Companies Limited terminates your Account, any current or pending orders or payments on your Account will be cancelled and provision of Services will not commence.
  3. UK Companies Limited reserves the right to cancel orders or payments without stating reasons, for any reason prior to processing payment or commencing Services provision.
  4. We comply fully with the Consumer Protection (Distance Selling) Regulations 2000 and the Electronic Commerce (EC Directive) Regulations 2002.
  5. Generally due to the bespoke nature of most of the Goods and Services that we provide they are exempt from that ’cooling off’ period and you may not cancel the order once it has been started.
  6. Where goods purchased are not bespoke, the order may be cancelled within the 7 working day ’cooling off’ period provided that it has not been used or damaged in any way. Any such cancellation must be in writing and any Goods returned to the Company by Recorded Mail at the expense of the Customer.
  7. These provisions apply to Goods or Services that may be cancelled in accordance with the Distance Selling Regulations, or ongoing services, which are renewable automatically or periodically.
  8. Should you change your mind before the submission to the Companies House, we will refund all monies paid and deduct £10 plus VAT for administration. This right to cancel does not apply to any orders that are less than our administration charge of £10 plus VAT.
  9. Refunds are not subject to parts of the package ordered.
  10. Should you decide to change to your 12 months contract for services (for example, your registered address, service address, mail forwarding) no pro-rate refunds will be issued.
  11. You have the right to cancel your order for the Services within a statutory 7 working day cooling-off period. This period begins when you receive written confirmation of your order from UK Companies Limited If the provision of the Services commences within the cooling-off period, your right to cancel under this provision shall end. Bespoke Orders cannot be cancelled once work has commenced by the Company to fulfil that order for Goods or Services.
  12. If orders or payments are cancelled for any reason prior to commencement of Services provision you will be refunded any monies paid in relation to those purchases.
  13. If you terminate your Account any non-completed orders or payments will be cancelled and you will be refunded any monies paid in relation to those orders.

11. Services, Pricing and Availability

  1. Whilst every effort has been made to ensure that all descriptions of Services available from UK Companies Limited correspond to the actual Services, UK Companies Limited is not responsible for any variations from these descriptions. This does not exclude our liability for mistakes due to negligence on our part and refers only to variations of the correct Services, not different Services altogether. Please refer to sub-Clause 11.4 for incorrect Services.
  2. Where appropriate, you may be required to select the required Package of Services.
  3. UK Companies Limited does not represent or warrant that such Services will be available. Availability indications are provided on the Website.
  4. All pricing information on the Website is correct at the time of going online. UK Companies Limited reserves the right to change prices and alter or remove any special offers from time to time and as necessary. All pricing information is reviewed and updated on the need to have basis.
  5. In the event that prices are changed during the period between an order being placed for Services and UK Companies Limited processing that order and taking payment, [you will be contacted prior to your order being processed with details of the new price] OR [provision of Services shall commence as per your order and you will be charged the original price].

12. Provision of Services

  1. Provision of Services shall commence when full payment has been received or as otherwise detailed in the Terms & Conditions pertaining directly to those Services.
  2. UK Companies Limited shall use its best endeavours to provide the Services with reasonable skill and care.
  3. Provision of all Services shall be subject to the terms and conditions pertaining directly to those Services, especially provided by third parties (like Streamline).
  4. Cash back must be claimed within 90 days of incorporation.
  5. In the event that Services are provided that are not in conformity with your order and thus incorrect, you should contact us within 10 days to inform us of the mistake. UK Companies Limited will ensure that any necessary corrections to the Services provided are made within 7 working days.
  6. UK Companies Limited reserves the right to exercise discretion with respect to any alterations to Services under the provisions of this Clause 13. Factors which may be taken into account in the exercise of this discretion include, but are not limited to:
    1. Any use or enjoyment that you may have already derived from the Services;
    2. Any characteristics of the Services which may mean that cessation of provision is impossible without significant further work on the part and at the expense of UK Companies Limited
    3. Such discretion to be exercised only within the confines of the law.
  7. We hold no responsibility for accuracy or completeness of the information you provide to us and will not accept liability for the rejection of the documents due to inaccuracies on your part. In the event of the Companies House rejecting your application you will have three days to resubmit with required corrections at no extra cost to you.
  8. We reserve the right to refuse any instructions or orders for goods or services ordered.
  9. It is the consumer’s responsibility to keep their personal logins safe and you indemnify us from any loss or damage resulting as a result of a breach of this clause

13. Money Laundering Regulations (MLR)

  1. We are company formations agents and are subject to the Money Laundering Regulations. We might require you to provide us with you’re a proof of identity and residential address in order to provide you with the service.
  2. UK Companies Limited MLR registration number is 12678826.
  3. Under MLR we are obliged to keep copies of all records and documents that fall under the regulations for a period of 5 ears from the date of your ordered being completed.

14. Registered and Service Address and Mail Forwarding services

  1. The User of the services agrees:
    1. Not to use any of the above services for any purpose which may be deemed to be illegal or antisocial and if it does so it acknowledges that the company may report this to any relevant authority;
    2. Not to receive to the premises any dangerous, bulky, illegal letters, objects or materials; Including but not limited to illegal drugs or substances, pornography, weapons, etc.
    3. Not to use the address in any advertising or business relating to the manufacturing, supply or promotion of the items in referred in clause 1.b
  2. If the User is in breach of condition 1 of these terms and conditions, then the company may terminate the services with immediate effect. In this instance there will be no refunds. In doing so, the User also gives irrevocable consent for the company to share the customer’s personal information with the relevant authorities including but not limited to Police, HMRC, HMRC, Trading Standards, etc.
  3. UK Companies Limited reserves the right to cancel the above services without providing any explanation by giving 2 weeks notice to enable the User to provide us with the requested information about the change of address. If the User does not provide us with such information by this date, you would be deemed to have authorised us to change with immediate effect your Registered Office Address or Service Address to your residential address or other address provided by you during the incorporation process.
  4. That no collection in person is offered and all mail will be re-directed by the Royal Mail or alternative courier at a price agreed when the service is taken (subject to change).
  5. UK Companies Limited is obliged to maintain accurate up to date details of the Users as required by UK authorities. The User must advise our company of any changes in details and provide all the supporting details requested and all the mail will be withheld and/or inspected at the company’s discretion, pending investigation of the information provide.
  6. The User understands and agrees that UK Companies Limited may at any time open and inspects the contents of any items of mail when the company deems doing so will ensure that our services are being used in accordance with the terms and conditions.
  7. This refers to Registered Address and Service Address services. The renewal payment is due prior to your anniversary of the previous payment.
  8. If the payment does not reach us by this date, you would be deemed to have authorised us and consented to us to change with immediate effect your Registered Office Address or Service Address to your residential address or other address provided by you during the incorporation process.
  9. If payment for renewal of Mail Forwarding service has not reached us by the anniversary of the last payment, we will stop mail re-directing with immediate effect and under no obligation to keep any mail addressed to your company. All mail will be shredded within 2 weeks of expiry of the Mail Forwarding service.
